Terms of Service

Welcome to Cognitive Rise. These Terms of Service ("Terms") govern your access to and use of the Cognitive Rise workplace wellbeing platform ("Platform", "Service"). By accessing or using the Platform, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree with any part of these Terms, you may not access the Platform.

1. Definitions

"Platform" refers to the Cognitive Rise workplace wellbeing platform, including website, applications, and services.

"User", "You" refers to the individual accessing or using the Platform.

"Company", "Employer" refers to the organisation that has contracted with Cognitive Rise to provide the Programme.

"Programme" refers to our 6-month mindfulness and wellbeing programme.

"Content" refers to all materials provided through the Platform, including articles, videos, exercises, and practices.

2. Acceptance of Terms

By creating an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

3. Eligibility and Registration

3.1 Eligibility

The Platform is intended for use by employees of organisations that have contracted with Cognitive Rise. You must:

  • Be at least 18 years of age
  • Be an employee or authorised representative of a participating organisation
  • Have received a valid invitation from your employer or Cognitive Rise
  • Provide accurate and complete registration information

3.2 Invitation-Based Access

Access to the Platform is invitation-based. You may only register using a valid invitation token provided by your employer or a Cognitive Rise administrator. Invitation tokens:

  • Are unique and non-transferable
  • Expire after a specified period
  • May be revoked at any time
  • Must not be shared with unauthorised individuals

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use
  • Ensuring your account information remains accurate and current

4. Description of Service

4.1 Programme Overview

Cognitive Rise provides a comprehensive 6-month mindfulness and wellbeing programme designed for workplace settings. The Programme includes:

  • Theory articles and educational content
  • Guided meditation and mindfulness practices (audio/video)
  • Reflective exercises and tasks
  • Progress tracking and feedback
  • Workshops, webinars, and group sessions
  • Messaging with curators and administrators
  • Calendar and event management

4.2 Progressive Content Unlocking

Programme content is released progressively over the 6-month period. Access to specific modules, articles, and practices is determined by unlock dates set by your organisation. Early access is not available unless specifically granted by administrators.

5. User Roles and Responsibilities

5.1 Participant Role

As a Participant, you may:

  • Access all unlocked programme content
  • Submit tasks and receive feedback
  • Track your personal progress
  • Register for events and workshops
  • Message your assigned curator and administrators

5.2 Curator Role

As a Curator, you may:

  • Access all participant permissions
  • View progress of participants in assigned companies
  • Review and provide feedback on task submissions
  • Access analytics for assigned participants
  • Message participants and administrators

Curators must maintain confidentiality and professionalism when handling participant data.

5.3 Administrator Role

As an Administrator, you have full platform access including:

  • User and company management
  • Content creation and management
  • Full analytics and reporting
  • System configuration
  • Invitation management

6. Acceptable Use Policy

6.1 Permitted Use

You agree to use the Platform solely for:

  • Participating in your organisation's wellbeing programme
  • Personal development and mindfulness practice
  • Legitimate communication with curators and administrators
  • Lawful purposes in compliance with all applicable regulations

6.2 Prohibited Activities

You must NOT:

  • Share your account credentials or invitation token with others
  • Access or attempt to access accounts belonging to other users
  • Interfere with or disrupt the Platform's operation or security
  • Upload viruses, malware, or malicious code
  • Scrape, mine, or collect data from the Platform using automated means
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Reproduce, modify, or create derivative works of Platform content
  • Use the Platform for any illegal, harmful, or fraudulent purpose
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Post or transmit inappropriate, offensive, or defamatory content

7. Intellectual Property Rights

7.1 Platform Content Ownership

All content, features, and functionality of the Platform, including but not limited to:

  • Text, articles, and written materials
  • Audio and video recordings
  • Meditation practices and exercises
  • Graphics, logos, and visual design
  • Software code and algorithms
  • Database structure and organisation

are owned by Cognitive Rise Ltd or our licensors and are protected by UK and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

  • Access and use the Platform for personal, non-commercial purposes
  • Download materials for personal practice (where explicitly permitted)
  • Participate in the Programme as intended

This licence does not include any right to resell, redistribute, or commercially exploit the Platform or Content.

7.3 User Submissions

You retain ownership of any content you submit to the Platform (e.g., task responses, reflections). By submitting content, you grant Cognitive Rise a non-exclusive, worldwide licence to use, store, and process your submissions solely for the purpose of delivering the Programme and improving our services. We will not share your personal submissions with third parties except as described in our Privacy Policy.

8. Medical Disclaimer

IMPORTANT: NOT A SUBSTITUTE FOR MEDICAL CARE

The Cognitive Rise Platform provides educational content and mindfulness practices for general wellbeing purposes. It is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

The Programme does not constitute:

  • Medical, psychological, or therapeutic treatment
  • Professional mental health services
  • Crisis intervention or emergency services
  • Diagnosis or medical advice

If you are experiencing a mental health crisis, suicidal thoughts, or require urgent medical attention, please contact emergency services (999 in the UK), NHS 111, or the Samaritans (116 123) immediately.

Always consult with a qualified healthcare professional before making any changes to your health routine or if you have concerns about your mental or physical health.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Platform will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of content

9.2 Limitation of Liability

To the maximum extent permitted by law, Cognitive Rise Ltd shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Loss of opportunity or business interruption
  • Any damages arising from your use or inability to use the Platform

Nothing in these Terms excludes our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

9.3 No Guaranteed Results

While our Programme is designed to support wellbeing and mindfulness practice, individual results may vary. We make no guarantees regarding specific outcomes, improvements in mental health, or other benefits. Your experience will depend on many factors, including your engagement, commitment, and individual circumstances.

10. Termination

10.1 Termination by You

You may stop using the Platform at any time. To request account deletion, please contact us at privacy@cognitiverise.co.uk.

10.2 Termination by Cognitive Rise

We reserve the right to suspend or terminate your access to the Platform, without notice, if:

  • You violate these Terms
  • You engage in prohibited activities
  • Your employer's contract with Cognitive Rise ends
  • We cease operating the Platform
  • Required by law or regulatory authority

10.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Sections that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) will continue to apply.

11. Changes to Terms of Service

We may modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on this page with a new "Last updated" date
  • Sending an email notification to registered users
  • Displaying a prominent notice on the Platform

Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Platform.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cognitive Rise regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.
